Job Description

This position will provide critical support client’s Legal Team and business stakeholders in
a wide range of general corporate and operational matters, including governance,
compliance, contracting, mergers and acquisitions, and litigation. This position will also
perform cross-functional support of legal and compliance transactions on an as-needed
basis.
Responsibilities:
• Maintain corporate governance records and manage shareholder reporting.
• Maintain and manage litigation files and monitor progress; coordinate and compile
information related to lawsuits, subpoenas and record requests.
• Maintain client’s contract management platform.
• Coordinate and manage licensing for various jurisdictions where client is qualified to do
business; coordinate qualification and prepare annual reports for all state qualifications.
monitor compliance in all states for client and its subsidiaries.
• Participate in due diligence for mergers and acquisitions and financial transactions.
• Draft and review contracts and memorandums.
• Manage relationships with legal vendors, including outside law firms, consultants, share
transfer agents, and compliance firms.
• Coordinate and review outside law firm billings, invoice payments, and book legal
reserves.

Required Skills & Experience

-Bachelor’s and paralegal certification preferred.
-Three years or more of relevant experience as a Paralegal (law firm or Corporate exp)
-Ability to perform legal research, writing and analysis.
-Excellent oral and written communication skills to communicate effectively.
-Requires strong organizational skills with a high degree of attention to detail.
-Ability to exercise independent judgment and to effectively prioritize work
