Job Description
Insight Global is seeking a Senior Director, Assistant General Counsel – Securities & Governance for a client in the technology industry to lead critical legal functions supporting our board and public company obligations. This role will manage the preparation and distribution of board and committee materials, draft resolutions, and maintain corporate records and minutes. You will serve as a key advisor to senior executives and board members, ensuring effective communication and follow-up on board actions. The position oversees corporate governance policies and practices, ensuring compliance with SEC regulations, listing requirements, and evolving governance standards. You will lead the company’s securities law compliance, including 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, 33Act, 34Act, etc. This role partners cross-functionally with finance, investor relations, tax, and HR to ensure accurate and timely disclosures. You will manage the annual shareholder meeting and support executive compensation and equity plan disclosures. The role includes maintaining insider trading policies, 10b5-1 plans, and other internal controls. You will also monitor regulatory developments in ESG, cybersecurity, and governance to ensure compliance and proactive disclosure. This is a high-impact role with direct visibility to the board and executive leadership team.

Required Skills & Experience
· JD or LLM from an accredited law school and maintains active bar membership in at least one US state.
· 8+ years of relevant corporate and securities experience at a law firm and/or in-house experience in a corporate or securities compliance function at a public company
• Must have experience with companies who operate globally
• Experience with corporate securities reporting for public companies
• Experience working directly with a board to provide counsel and drive process creation and/or improvements
· Proven track record in supporting or managing corporate secretary functions for a publicly traded company
• Experience maintaining corporate records, preparing board materials, and managing board communications.
· Deep knowledge of SEC rules and regulations, Sarbanes-Oxley, listing exchange requirements, and other applicable laws and regulations. Ability to navigate such requirements and provide creative business-oriented solutions.
· Comprehensive knowledge of corporate governance principles, practices, and regulations, including expectations of institutional investors and proxy advisory firms.
