Job Description

Insight Global is looking to hire on a Corporate Counsel Attorney for a client in the Charlotte, NC area. As an Attorney on the Legal team, this candidate will be involved in a wide variety of activities that help drive business growth and improve the operations and maturity of the legal function. Principally, the legal department negotiates and manages the companys contracts, in some cases multimillion dollar deals; leads compliance, regulatory, and governance matters; and manages risk. Given the nature of the business, the legal department is also involved in almost every aspect of the companys business, including product development, brand and marketing strategy, employment matters, and facilities. The Corporate Counsel will support all these activities and -- in so doing -- will collaborate extensively with colleagues across multiple business departments and product lines, including at the executive level.
Responsibilities
Preparing, maintaining, negotiating, and reviewing a high volume & broad range of agreements and amendments, including SaaS contracts, NDAs, Vendor Agreements, Independent Contractor Agreements, and Partnership Agreements.
Supporting the preparation of business development proposals
Facilitating the execution of agreements and receipt of fully executed versions
Managing the company's contracts inventory and administering the company's contract management software
Assisting in creating and improving agreements, templates, and policies for Passport as we develop new products and enter new markets.
Scaling existing legal contracting processes, training practices, and helping develop new processes and practices by leveraging technology.
Tracking and reporting on the legal departments output and key performance indicators
Supporting vendor management functions internally and in response to customers needs
Assisting in the preparation of internal company policies, maintaining the company's policy library, coordinating review and update of policies, and supporting audits for compliance
Analyzing and advising on complex commercial legal issues, including those related to data privacy and information security, payments processing, and accessibility.
Supporting due diligence in connection with mergers, acquisitions, or other strategic investments, and preparing and negotiating deal paperwork
Helping with the preparation and filing of annual reports and other required filings
Performing other corporate, transactional, and governance tasks and ad hoc projects, such as litigation matters, as needed

Required Skills & Experience

Juris Doctor degree from an ABA-accredited institution
5 years of experience in private law practice or in-house
Proficiency with G Suite, Microsoft Office, Adobe Acrobat Pro, and Mac Laptops and Operating Systems
Strong written and oral communication skills
Detail-oriented and organized.
Ability to own projects through to completion in a timely manner with minimal supervision.

Nice to Have Skills & Experience

2-4 years of corporate or transactional experience in private law practice or in-house legal department, preferably with substantive experience in the SaaS arena
Familiarity & proficiency with contract lifecycle management software, preferably Ironclad
Experience with contract negotiation and management
Mecklenburg County Notary Public
