Job Description

Insight Global is seeking a Legal Assistant for a top corporate client. This individual will play a critical role in supporting in-house counsel and executive leadership by managing entity governance, maintaining corporate records, and ensuring compliance across a broad U.S. subsidiary structure. The ideal candidate thrives in a collaborative environment, handles sensitive information with absolute discretion, and brings strong organizational and administrative expertise to a fast-paced legal function.
Day-to-Day:
- Maintain corporate records and minute books, mainly for U.S. entities.
- Track annual reports, franchise tax filings, and registered agent information.
- Manage and update data in entity management systems.
- Draft routine corporate documents (resolutions, officer certs, written consents).
- Coordinate entity formations, qualifications, withdrawals, dissolutions, and restructurings.
- Collaborate with Finance and Tax teams on reporting needs.
- Coordinate document execution and signature processes with senior leadership.
- Maintain confidentiality around corporate transactions and executive communications.
- Manage electronic filing and ensure documentation accuracy and accessibility.
- Support U.S. and international legal matters as needed.

Required Skills & Experience

- 2+ years’ experience in a corporate legal department, law firm, or professional office environment.
- Familiarity with corporate documents and business entity structures.
- Advanced proficiency in Microsoft Word, Excel, and PowerPoint.
- Strong organizational and administrative skills.
- Ability to handle confidential information with discretion.
- Professional demeanor; comfortable interacting with senior leadership.

Nice to Have Skills & Experience

- Bachelor's degree.
